R4-07 RegGenome JV file

Supports slide 26.

The walk-through on slide 26 is the RegGenome decision. This file is the dated record. Commercial terms stay out; the slide shows everything I’m sharing on terms.

24 Nov 2025 Mark Johnston, RegGenome CEO, asks me to confirm my position: the investment had moved from a direct investment in RegGenome to an investment in a joint venture between RegGenome and MoxyWolf. Gmail thread 1849681959803683129
10 Dec 2025 After our call I wrote: “RegGenome doesn’t currently have an appetite for investing in a JV. What it cost and what it saved

There was no joint entity, so there was nothing to unwind when RegGenome ended the partnership.

My account of the decision

RegGenome asked for the stake. They asked in several meetings: $500K from MoxyWolf into a joint venture. I passed. The venture would have been funding RegGenome’s monthly burn, and they weren’t willing to make cuts. I wasn’t going to put half a million dollars and my hours behind that when the anchor needed both.

The 10 Dec email records the outcome in polite terms: no JV, a staged partnership instead. It doesn’t record why. The reason is the burn.

What backs this and what doesn’t:

  • The ask, the amount and the reason are my account of those meetings (17 Oct 2026). The emails I’ve pulled don’t name an amount. The Fireflies recaps of the November and December MOU meetings are the place to confirm it.
  • The outcome (no JV, a staged partnership, then RegGenome ending it on 6 Jul 2026) is on the record above.

Not yet evidenced: RegGenome’s release on our site in March 2026.
